Client Terms and Conditions
These terms apply to all projects and services carried out by Cowacks. By proceeding with a project after receiving a proposal, you agree to these terms.
1. Definitions
In these terms:
- "Cowacks" / "I" / "me" refers to Jack, operating as a sole trader under the Cowacks brand.
- "Client" / "you" refers to the individual or business commissioning the work.
- "Project" refers to the services described in the written proposal or agreement.
- "Proposal" refers to the written scope of work and price provided before a project starts.
2. Proposals and agreements
All work begins with a written proposal outlining the scope, deliverables, timeline, and fixed price. The proposal is valid for 30 days from the date it is sent.
A project is confirmed when the client provides written acceptance (email is sufficient) and the deposit has been received.
Any work requested outside the agreed scope will be quoted separately before being carried out.
3. Payment
Unless otherwise agreed in writing, payment terms are as follows:
- Deposit: 50% of the project fee is due before work begins.
- Final payment: the remaining 50% is due before the completed work is handed over or made live.
- Invoices are payable within 14 days of issue, by bank transfer to the details shown on the invoice.
Late payment: invoices not paid within 14 days may be subject to a late payment charge of 8% above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998. Work may be paused on outstanding projects until overdue invoices are settled.
4. Revisions
Each project includes a defined number of revision rounds as stated in the proposal (typically two). A revision round means a consolidated set of feedback on a single deliverable, responded to in one pass.
Additional revisions beyond those included will be charged at an agreed hourly rate, confirmed in writing before the work is done.
5. Client responsibilities
To keep the project on track, the client agrees to:
- Provide any required content, assets, logins, or information within agreed timeframes.
- Give clear, consolidated feedback at each review stage.
- Respond to questions or review requests within 5 working days.
Delays caused by late client feedback or missing materials may push the timeline back. Cowacks is not responsible for delays arising from the client's side.
6. Timelines
Estimated timelines are provided in the proposal and given in good faith. They are not guaranteed unless explicitly stated as fixed deadlines.
If a project is paused at the client's request for more than 4 weeks, Cowacks reserves the right to reschedule the remaining work around other commitments.
7. Ownership and intellectual property
On receipt of final payment in full, ownership of the final deliverables transfers to the client. This includes design files, code, and written content produced specifically for the project.
Until final payment is received, all work remains the intellectual property of Cowacks.
Cowacks retains the right to display completed work in a portfolio or case study, unless the client requests otherwise in writing before the project starts.
Any third-party assets used in a project (stock images, fonts, plugins, frameworks) remain subject to their own licensing terms. It is the client's responsibility to maintain any ongoing licences after handover.
8. Cancellation
Either party may cancel a project with written notice. In the event of cancellation:
- Any deposit paid is non-refundable.
- If work has progressed beyond the deposit stage, a fair charge for work completed to date will be invoiced and is payable within 14 days.
- Any work completed up to the point of cancellation remains the property of Cowacks until any outstanding balance is paid.
9. Confidentiality
Both parties agree to keep confidential any sensitive information shared during the project. This includes business plans, financial information, unreleased products, and anything marked as confidential.
This obligation does not apply to information that is publicly available or independently known.
10. Liability
Cowacks will carry out all work with reasonable skill and care. However:
- Cowacks is not liable for any loss of revenue, loss of data, or indirect losses arising from the use of delivered work.
- Cowacks is not responsible for issues arising from third-party platforms, hosting providers, or services outside of Cowacks' control.
- Total liability in any circumstance is limited to the total fee paid for the specific project in question.
11. Warranties
The client warrants that any content, images, or materials they provide to Cowacks for use in the project do not infringe any third-party intellectual property rights, and that they have the right to use and share them.
If a third-party claim arises from client-supplied materials, the client agrees to indemnify Cowacks against any resulting costs or damages.
12. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these terms
These terms may be updated from time to time. The version in place at the time a proposal is accepted applies to that project. The current version is always available at cowacks.com/terms.html.
